These terms are incorporated by reference into Vendio's User Agreement at http://www.vendio.com/company/terms.html and are subject to the User Agreement. Your use of any of Vendio's services is subject to the User Agreement in its entirety. The following terms apply to any user that participates in the marketing of the Webloyalty Rewards Program to consumers (the "WL Program"):

VENDIO WEBLOYALTY POLICY

1. Webloyalty ("WL") or Vendio may, at any time during your participation in the WL Program, insert content related to the WL Program onto your Vendio post-sale pages.


2. Your names and trademarks may be used by WL in connection with marketing and supporting the WL Program.


3. Any customer data for your customers who accept a WL Program offer will be shared with WL. You agree to review and modify as necessary your privacy policy to ensure that such data transfer is permissible.


4. With respect only to your use of any Vendio service, participation in the WL Program precludes you from placing any other third-party content on any order pages or purchase confirmation pages, popped-up over or under your order pages or purchase confirmation pages or otherwise displayed at the same time as or prior to confirmation pages or within confirmation emails, which, in any such case, could reasonably be considered to draw customers from clicking on or viewing the WL content or enrolling in WL services.


5. Your participation in the WL Program makes you eligible for a credit to your Vendio account of $10 for every 100 completed checkouts. You will receive these payments from Vendio, not from WL. Vendio will track completed checkouts 45 days after the end of each month and will credit customer accounts within 15 days thereafter.
