Hi,

Please remember that it's difficult to repsond about our charter until it's finished and vetted by our legal people.

We have released that we will not be a LEGAL co-op. We haven't started our membership drive and our auction site is not up yet.

We are not asking for anything at this time from anyone. For me to make definative statements until everything is in place is unfair. If all I wanted to do was assure folks and make them happy I would, but I don't want to make statements that I have to answer for later. I'm not trying to be vague either.

Yes, a shareholder is not a member but I'd like to remind you that unless we have a good product there's nothing to discuss here or anywhere? And if we come out with just another site with no benefits for anyone then discussion would be silly too. AP can only work if we basically live up to our goals and come out with a product good enough to earn sellers and bidders approval.

Then we have to maintain that approval and build upon it.


Right now I'd like to focus, if we can, (I'm not trying to tell anyone what to ask or say) on the fact that we will not be a legal co-op entity.

When our charter is finished and we start our membership drive I think I and AP would be better able to more distinctly answer some questions better than at this point.

I think you've given me a pretty good idea of where you're headed. I'll be interested to see what finally developes and I'll be wishing you well and hoping for the best, but what I see so far sounds like some very good intentions but nonetheless, just another auction site.

Given that AuctionPie's articles of incorporation are the basis for the corporation, and the reluctance to offer definitive answers to questions, it seems that there's not really much to be learned until AuctionPie becomes a legal entity.

As an aside, you mentioned that your attorney had suggested incorporating in Nevada and conducting the business in New York. While you can easily incorporate in Nevada, you may want your attorney to determine whether AuctionPie must also register with New York as a "foreign (out-of-state) corporation."

Hi Dimview,

Sorry to correct you but I believe we mentioned Delaware, not Nevada for our corporation State. Yes, we are aware that we have to register out of State info. Again, at this point all we are doing is notifying people that we are not going to be a legal Co-op. That's all we are saying. Everything else is still in development and is of course subject to change. We are just trying to achieve our stated goals.

We will of course update folks as the info is available.

Hello Canvid13,

Since you are no longer discussing a co-op but a regular auction site and you are one of the Company Reps, there are new rules for you to follow at AuctionWatch.com

1. You may not promote your website in any way on any of the forums at AuctionWatch.com.

2. You may respond factually to any questions put to you, but as a company rep, these responses are never to be promotional in nature.

3. You will not be able to start a thread about your Auction site as they may be seen as promotional.

This goes for any other Company Reps as well.

Thanks for your cooperation. I will lock this thread and if anyone has questions for you, they will ask in other threads.
